STANDING RULES
NORTH CENTRAL CHAPTER
KENTUCKY PUBLIC RETIREES

ARTICLE I
Organization

This organization shall be known as the North Central Chapter of the Kentucky Public Retirees and shall serve the geographical area of Bullitt, Henry, Jefferson, Oldham, Shelby, Spencer, and Trimble Counties of Kentucky.

ARTICLE II
Membership and Meetings

Section 1. Any person who is currently receiving or has previously received retirement benefits from any state administered retirement system or who would be eligible for immediate retirement from any state administered retirement system is eligible for membership.

Section 2. Membership in the state organization is a prerequisite for membership in the North Central Chapter.

Section 3. The North Central Chapter shall hold monthly meetings. The President shall have the option to call additional meetings as may be necessary.

ARTICLE Ill
Dues

Section 1. Annual dues shall be paid on a calendar year basis beginning January 1 of each year.

Section 2. All dues shall be paid to the Treasurer of the state organization.

ARTICLE IV
Elections

Section 1. A nominating committee, appointed by the Chapter President in January of each year, shall present the names of nominees for each office to the Chapter membership at the April Chapter meeting. Nominations from the floor can also be accepted at the June Chapter meeting. The election of Chapter officers shall be held at the June meeting of each year. Chapter members of record as of June 1 are eligible to vote. The nominee receiving the majority of votes of those members present shall be declared elected.

Section 2. Officers shall serve a term of one year, from July 1 to June 30; however, they shall be eligible for reelection to the same office.

Section 3. Any vacancy in an elective office shall be filled for the remainder of the term by the Chapter President. If the Chapter President’s office is vacated, the Vice-President shall assume the responsibilities of the office for the remainder of the term. The new President shall then appoint a new Vice-President for the remainder of the term.

ARTICLE V
Chapter Board

Section 1. The Chapter Board shall be composed as follows: four elected officers (President, Vice-President, Secretary, and Treasurer) and all Standing committee chairpersons, and, if possible, a County Coordinator appointed from each county in the Chapter’s area.

Section 2. The Chapter Board shall meet at least quarterly, or upon the call of the president, or upon petition of at least three members of the Board. A quorum shall be a simple majority of the Board.

Section 3. The County Coordinators shall be appointed by the President, and shall serve a term of one year, from July 1 to June 30 of each year. They shall be eligible for reappointment to the same position.

Section 4. An annual budget shall be prepared by the Budget and Finance Chair for the period of July 1 to June 30 of each year, and presented to the Chapter Board for approval by May 1. The budget adopted by the Chapter Board will be presented to the membership for approval at the June meeting. The budget may be adjusted as needed by the Chapter Board, subject to approval by the membership at the next Chapter meeting.

Section 5. The Chapter Board shall be responsible for directing the North Central Chapter in matters as specified by the By-Laws of the state organization and the Standing Rules of the North Central Chapter.

ARTICLE VI
Officers

Section 1. The President shall be the chief executive officer of the chapter, preside over meetings of the Chapter and Chapter Board, and appoint committee chairs and County Coordinators. He/she shall attend state Board meetings as a member of the Board, approve all pay documents, and carry out all duties and functions as may be assigned by the Chapter Board.

Section 2. The Vice-President shall, in the absence of the President, exercise all functions of the President’s office, and shall succeed to the office should it become vacant.

Section 3. The Secretary shall maintain all reports and official correspondence, record proceedings of Chapter and Chapter Board meetings, read minutes at meetings, and forward a copy of the minutes to the Chapter President. The Secretary shall carry out any other duties assigned by the Chapter Board.

Section 4. The Treasurer shall be the financial officer of the Chapter, shall receive all funds, make financial reports, have custody of all funds of the Chapter, keep full and accurate accounts of receipts and disbursements, disburse funds of the Chapter only at direction of the Chapter President. He/she shall prepare and present a report of Chapter finances to the membership at each Chapter meeting, forward appropriate financial records at the end of each term to the KPR Audit Chair, maintain the bank account, and perform other duties as prescribed by the Chapter Board. A copy of the detailed monthly financial report is to be given to the Chapter President, the Budget and Finance Chairperson, and to the Secretary to file with the minutes of the meeting.

Section 5. All officers, committee chairpersons, and committee members shall serve without compensation, but expenses will be allowed within limits as prescribed by the Chapter Board.

Section 6. Upon approval of the chapter president, the Program Committee Chair may authorize a fee or honorarium to be paid to guest speakers or entertainers, the amount of which to be determined by the Chapter Board on a year-to-year basis, considering budgetary constraints. All efforts will be made to obtain speakers and entertainment without fee or honorarium. Guest speakers/entertainers will be invited to join the chapter for lunch with the cost paid by the chapter.

ARTICLE VII
Committees

Section 1. The following committees shall be designated standing committees (see job descriptions):

a. Audit Committee

b. Budget and Finance Committee

c. Legislative Committee

d. Membership Committee

e. Public Relations Committee

Section 2. Appointed standing committee chairpersons (Article VII, Section 1) shall participate in Chapter Board deliberations and have authority to vote on issues at Board meetings. Chairpersons may be replaced if needed at the discretion of the Chapter President.

Section 3. Ad Hoc committees may be established by the Chapter President to serve a special limited purpose and for a specific length of time. Chairs of Ad Hoc committees do not have voting authority on the Chapter Board. Examples of Ad Hoc committees are:

a. Auction Committee

b. Incentives Committee

c. Awards Committee

d. Nominations and Elections Committee

e. Program Committee

f. Special Projects Committee

g. Standing Rules Committee

ARTICLE VIII
Standing Rules

Standing Rules may be adopted, amended, or repealed by the Chapter membership as long as they are  consistent with the Articles of Incorporation, By-Laws, and Rules of the state organization. All changes in the contents of the Standing Rules must be in accordance with the above and require the favorable recommendation of the Chapter Board and first reading to the membership. The membership will vote on the proposed changes at the next scheduled meeting after the reading. Contents other than Standing Rules, such as Job Descriptions, may be changed at the discretion of the Chapter Board and do not require membership approval.

ARTICLE IX
Repealer

Any Standing Rules of the North Central Chapter existing on the date of adoption of these Standing Rules are hereby repealed.
